	EMDR-EUROPE Vereinsstatuten	EMDR-EUROPE Articles of Association
Artikel 1	Name und Sitz des Vereins	Name and Domicile of the Association
	Unter dem Namen "VEREIN EMDR-EUROPA" besteht ein Verein im Sinne der Art. 60 ff. ZGB mit Sitz in Schaffhausen, Schweiz.	The name of the Association shall be “ “EMDR-EUROPE ASSOCIATION”; it shall be constituted as association pursuant to article 60 et seq. of the Swiss Civil Code with domicile in Schaffhausen, Switzerland.
	Der Verein kann im Handelsregister des Kantons Schaffhausen eingetragen werden.	The Association may be registered in the Commercial Register of the canton of Schaffhausen.
Artikel 2	Zweck des Vereins	Objects of the Association
2.1	Der Verein bildet innerhalb von Europa ein internationales Forum zur Erforschung von EMDR (Eye Movement Desensitization and Reprocessing).	The Association provides an international forum within Europe for the discussion of matters relevant to research on and the practice of EMDR (Eye Movement Desensitization and Reprocessing).
2.2	Der Verein wird diesen Zweck wie folgt fördern:	In furtherance of this object the Association shall:
2.2.1	Er sorgt für eine jährliche Konferenz, die ordentlicherweise von demjenigen Länderverein organisiert wird, in dessen Land die Konferenz stattfindet.	Organise an annual conference, which will normally be arranged by the national association in the country in which the conference is held.
2.2.2	Der Verein unterstützt die Gründung und Entwicklung weiterer nationaler EMDR-Vereine in allen europäischen Ländern.	Encourage and support the establishment and development of national EMDR associations in all European countries.
2.2.3	Der Verein unterhält Verbindungen zu bereits bestehenden EMDR-Vereinen und anderen Organisationen im Fachbereich in- und ausserhalb Europas.	Establish and maintain relationships with EMDR associations and other relevant bodies both within and outside Europe.
2.2.4	Der Verein bestimmt die Standards der Berufsausübung und ist bestrebt, die Ausbildungsentwicklung im Bereich EMDR innerhalb von Europa zu koordinieren.	Set standards and seek to co-ordinate the development of training in the practice of EMDR throughout Europe
2.2.5	Der Verein kann im Rahmen des Zwecks gemäss Art. 2.1 weitere Aktivitäten entwickeln, welche angemessen erscheinen und von der Vereinsversammlung gutgeheissen werden.	Take any other action, consistent with Article 2.1, which is deemed appropriate and agreed by the Governing Body of the Association.
Aritkel 3	Mitgliedschaft	Membership
3.1x	Der Verein kennt die folgenden Arten von Mitgliedschaft: Vollmitgliedschaft, Beobachterstatus, Ehrenmitgliedschaft.	The association has the following kinds of memberships: full membership, observer membership and honorary membership.
3.1.1	Die Vollmitgliedschaft ist, nach Ermessen der Vereinsversammlung, allen nationalen EMDR-Vereinen in- und ausserhalb Europas zugänglich, soweit sie die Zwecke des Vereins wie in Art. 2 beschrieben anerkennen.	Full membership of the Association shall be open to national EMDR associations within Europe, as well as in countries outside Europe at the discretion of the Annual General Meeting, who subscribe to the objects of the Association as set out in Article 2
3.1.2	Ein Beobachterstatus kann denjenigen Personen zuerkannt werden, welche die Zwecke des Vereins, wie in Art. 2 umschrieben, anerkennen und in Ländern wohnen, in denen entweder kein nationaler EMDR-Verein existiert oder deren nationaler EMDR-Verein diesem Verein nicht angeschlossen ist. Personen mit Beobachterstatus haben kein Stimmrecht.	Observer membership of the Association shall be open to persons who subscribe to the objects of the Association, as set out in Article 2, and reside in countries where either there is no affiliated national association or the national association is not affiliated to the Association. Observer membes have no voting rights.
3.1.3	Wer sich in besonderer Weise für die Zwecke des Vereins verdient gemacht hat, kann vom Vereinsvorstand zu Handen der Vereinsversammlung als Ehrenmitglied vorgeschlagen werden. Ein Ehrenmitglied bezahlt keinen Vereinsbeitrag und hat kein Stimmrecht.	The Board of Directors may recommend, for election by the Annual General Meeting, as Honorary Fellows persons who have made significant contributions to the advancement of Eye Movement Desensitisation and Reprocessing. There shall be no membership fee for Honorary Fellows and they will have no voting rights.
3.2	Erwerb und Verlust der Mitgliedschaft	Acquisition and loss of membership
3.2.1	Die Aufnahme als Mitglied erfolgt aufgrund eines schriftlichen Aufnahmegesuchs. Die Anmeldenden müssen nachweisen, dass sie die erforderlichen Kriterien erfüllen und erklären, dass sie mit den Statuten einverstanden sind.	The admission as a member requires a written application for membership. The applicants have to demonstrate that they meet the required criteria and to declare that they adhere to the articles of the association.
3.2.2	Die Aufnahme neuer Mitglieder bedarf der Zustimmung der Mehrheit an der Vereinsversammlung. Der Entscheid ist abschliessend.	New members, shall be accepted by majority vote of the Governing Body present at the Annual General Meeting. Its decision is final.
3.2.3	Mitglieder können unter Einhaltung einer Kündigungsfrist von 6 Monaten auf Ende des Geschäftsjahres austreten. Die Kündigung muss schriftlich erfolgen. Der Mitgliederbeitrag bleibt für das Austrittsjahr voll geschuldet.	Members are free to leave the associations at the end of each year, with notice to be given 6 months in advance. The notice has to be made in writing. The membership fee remains due for the whole year.
3.2.4	Der Vorstand hat das Recht zu Handen der Vereinsversammlung den Ausschluss von Vereinsmitgliedern (natürliche oder juristische Personen) zu beantragen, sofern diese den Vereinszweck gefährden. Der Ausschluss ohne Angabe von Gründen ist zulässig.	The Board of Directors shall have the right to recommend to the General Meeting the exclusion of a national association or an individual from membership of the Association if an association or individual fails to adhere to the objects of the Association. An exclusion without declaration of the reason(s) is permitted.
3.3	Rechte und Pflichten der Mitglieder	Rights and duties of the members
3.3.1	Mit der Aufnahme in den Verein verpflichten sich die Mitglieder die von den ordentlichen Organen verabschiedeten Beschlüsse zu unterstützen, die festgelegten Mitgliederbeiträge zu bezahlen und in den Gremien und Arbeitsgruppen des Vereins mitzuwirken.	With their admission to the association, the members commit to stand by the decisions of the bodies of the association, to pay the fees as concluded by the General Meeting and to participate in committees and study groups of the association as appropriate.
3.3.2	Voll mitglieder und Mitglieder mit Beobachterstatus leisten einen jährlichen Beitrag, der sich nach der Mitgliederzahl in ihren nationalen Vereinen richtet. Der von der Generalversammlung festgelegten Mitgliederbeitrag ist auf ein Maximum von 5 Euros pro Mitglied eines nationalen Vereins beschränkt.	Full members and observor members pay a prorata fee perannum based on the number of members in each of their national associations. The amount is decided by the General Meeting up to a maximum of 5 Euros per head of each national association.
3.3.3	Die Mitglieder haben das Recht, an der Generalversammlung vom Vorstand über die Angelegenheiten des Vereins und von der Revisionsstelle [falls bestimmt] über die Durchführung und das Ergebnis der Prüfung Auskunft zu verlangen.	At the General Meeting the members have the right, to request information from the Board of Directors regarding the matters of the association and from the auditors committee (if appointed) regarding the performance and results of the audit.
Artikel 4	Mitgliederversammlung	General Meeting
4.1	Die Vereinsversammlung ist das höchste Organ des Vereins und besteht aus einem oder zwei Delegierten jedes Vollmitgliedvereins, je bestimmt durch den entsprechenden Mitgliedverein.	The General meeting is the Governing Body of the Association and shall comprise one or two representatives of each member association nominated by that association.
4.2	Die jährliche Vereinsversammlung wird während der Jahreskonferenz abgehalten. Findet keine Jahreskonferenz statt, so bestimmt der Vorstand Ort und Zeit der Vereinsversammlung.	The Annual General Meeting of the Association shall normally be held during the Annual Conference or, if a conference is not held annually, at such time and place as shall be determined by the Board of Directors of the Association.
4.2.1	Darüberhinaus sind folgende Formen der Vereinsversammlung ebenfalls zulässig: - Telephonkonferenzen Für die Vorbereitung von Beschlüssen gemäss Art. 66 Abs. 2 ZGB (schriftliche Zustimmung aller Mitglieder) kann die Diskussion per Email geführt werden.	In addition, the following methodes to hold a General Meeting are permitted: - conference calls For the preparation of a joint resolutions according to Art. 66 sec. 2 Swiss Civil Code (written consent of all members), discussions may be held by email.
4.3	Traktanden- und Wahlvorschläge für den Vorstand sind mindestens zwei Monate vor der Vereinsversammlung anzukündigen.	Agenda items and nominations for officers shall be sought at least two months prior to the Annual General Meeting.
4.4	Mindestens einen Monat vor der Vereinsversammlung werden die Delegierten schriftlich über die Traktanden, Ort und Zeit der Versammlung informiert. Ort und Zeit der Versammlung wird an der Vereinsversammlung des vorhergehenden Jahres bestimmt.	At least one month notice in writing shall be given to all representatives of national associations of the agenda and venue of the Annual General Meeting. The date and place of the meeting shall be decided at the previous Annual General Meeting.
4.5	Für die Beschlussfähigkeit der Vereinsversammlung ist ein Quorum von 50% erforderlich.	The quorum at the General Meeting shall be 50%.
	Kompetenzen der Vereinsversammlung	Competences of the Governing Body
4.6	Die Versammlung bestimmt aus seinen Mitgliedern den Vorstand, bestehend aus sechs Vorstandsmitgliedern: (1) Präsident; (2) Vizepräsident; (3) Ehrenpräsident; (4) Sekretär; (5) Kassier; (6) Konferenzorganisator.	The Governing Body shall elect from among its members a Board of Directors of six officers: (1) President; (2) President-Elect; (3) Past-President; (4) Secretary; (5) Treasurer; (6) Conference Organiser.
4.6.1	Der Präsident wird üblicherweise für eine Amtsperiode von 4 Jahren gewählt; Wiederwahl für eine weitere Amtsperiode ist möglich.	The President shall normally hold office for four years. The term may be extended for a further four years.
4.6.2	Der Präsident wird ein Jahr vor seiner geplanten Wahl als Vizepräsident bestellt.	The President will have been elected as President-Elect the year prior to becoming President.
4.6.3	Der Präsident wird nach seiner Amtszeit üblicherweise für ein weiteres Jahr als Ehrenpräsident dienen.	The outgoing President shall normally serve a further year as Past-President following his/her term of office.
4.6.4	Der Sekretär und der Kassier werden für eine Amtszeit von 3 Jahren gewählt.	The Secretary and Treasurer shall be elected for a term of 3 years from nominations sought from all member associations
4.6.5	Der Konferenzorganisator wird von der Mitgliederversammlung gewählt für eine Amtszeit, die nach durchgeführter Konferenz endet.	The Conference Organiser shall be elected at the Annual General Meeting and serve until the Conference takes place.
4.7	Die Vereinsversammlung hat das Recht, Mitglieder des Vorstands abzuberufen.	The General Meeting shall have the right to exclude an officer from the Board.
4.8	Die Vereinsversammlung kann eine Revisionsstelle wählen.	The Annual General Meeting may appoint an Audit Committee
Artikel 5	Aufgaben und Kompetenzen des Vorstands	Responsibilites Of The Board of Directors
5.1	Der Präsident: führt den Vorsitz und lädt zu Sitzungen des Vorstands und der Vereinsversammlung. erstellt in Absprache mit dem Vorstand die Traktandenliste. ist verantwortlich für das Gedeihen und die sorgfältige Führung des Vereins. präsidiert die Jahreskonferenz und spricht sich mit dem Konferenzorganisator und dem organisierenden Komitee vorgängig ab.	The President shall: Preside at and arrange meetings of the Board of Directors, the Annual General Meeting and other meetings of the Governing Body. Prepare the agenda for meetings in consultation with the Board of Directors. Be responsible for the welfare and proper operation of the Association. Preside over the Annual Conference and liase with the Conference Organiser and Organising Committee prior to the Conference
5.2	Der Vizepräsident: unterstützt den Präsidenten und ersetzt ihn im Falle von dessen Abwesenheit.	The President-Elect shall: Assist the President and deputise in the event of his/her absence.
5.3	Der Ehrenpräsident: unterstützt den Präsidenten und den Vizepräsidenten.	The Past President shall: Assist the President and President-Elect.
5.4	Der Sekretär: ist verantwortlich für die Geschäftsführung des Vereins in Absprache mit dem Präsidenten und den anderen Mitgliedern des Vorstands. verfasst die Protokolle der Versammlungen unterhält enge Kontakte mit den Vertretern der Mitgliedervereine. In Mitteilungen, die zumindest alle vier Monate erfolgen, sorgt er für den notwendigen Informationsfluss.	The Secretary shall: Be responsible for the administration of the Association in co-operation with the President and the other officers. Compile the minutes of all meetings. Maintain close liaison with the representatives of the member associations, ensuring the receipt and distribution of relevant information at least once every four months
5.5	Der Kassier: ist in enger Absprache mit dem Präsidenten für die Vermögensverwaltung verantwortlich. erstattet an die Vereinsversammlung schriftlich und mündlich Bericht über die finanzielle Lage des Vereins. Der Kassier rechnet über Ein- und Ausgänge ab. organisiert die unabhängige Kontrolle der Jahresrechnung. legt – in Absprache mit dem Vorstand – der Vereinsversammlung ein Jahresbudget zur Genehmigung vor.	The Treasurer shall: be responsible for the receipt, custody and disbursement of all funds of the Association in close co-operation with the President. Make a written and oral report on the financial status of the Association at the Annual General Meeting and account for all receipts and payments as required. Organise the independent audit of the annual accounts. Prepare an annual budget, in liaison with the other officers, for approval at the Annual General Meeting
5.6	Der Konferenzorganisator: ist verantwortlich für die Organisation der jährlichen Konferenz, die von seinem nationalen Verein durchgeführt wird. Der Konferenzorganisator spricht sich hiefür mit dem Präsidenten ab, dem er Rechenschaft schuldet.	The Conference Organiser shall: Be responsible for the organisation of the Annual Conference hosted by his/her national association and liase with and be accountable to the President of the Association
5.7	Änderungen im Vorstand Bei Vakanzen innerhalb des Vorstands bestimmen die verbleibenden Mitglieder des Vorstands aus den Mitgliedern des Vereins entsprechenden Ersatz mit Amtsdauer bis zur nächsten Vereinsversammlung.	Changes in the Board of Directors In the event of a vacancy occurring among the officers, the remaining officers may elect any member of the Governing Body to complete the term of office until the next Annual General Meeting.
Artikel 6	Aufgaben und Kompetenzen der Delegierten	Responsibilites Of The Representatives
	Die Delegierten vertreten ihren nationalen Verein in der Vereinsversammlung und dienen als Verbindungspersonen zwischen dem nationalen Verein und dem Vorstand. Sie	National Association Representatives shall represent their national associations on the Governing Body of the Association and act as liaison persons between their association and the Board of Directors by:
	a) sorgen für die rechtzeitige Überweisung der Mitgliedschaftsgebühren ihres nationalen Vereins an den Kassier,	a) Ensuring that membership fees payable by their national association are submitted to the Treasure by the due date;
	b) informieren den Sekretär zumindest halbjährlich über Angelegenheiten ihres nationalen Vereins, welche für den Verein von Interesse sind, wie z.B. Meetings, Konferenzen, Workshops, Gastredner, etc.	b) Informing the Secretary at least every six months of any matters involving his/her national association of interest to the general membership of the Association, e.g. meetings, conferences, workshops, visiting lecturers, etc.;
	c) machen ihren nationalen Vereinen Mitteilung über alle wichtigen Angelegenheiten, über die Vorstand informiert hat.	c) Circulating to their national association members any matters of relevance distributed by officers of the Association;
	d) informieren ihre nationalen Vereine über die Details der jährlichen Konferenz, welche der Konferenzorganisator bekannt gibt.	d) Circulating to their national association members all details of the Annual Conference of the Association distributed by the Conference Organiser;
	e) antworten auf Korrespondenz des Vorstandes innerhalb eines Monats nach Erhalt.	e) Responding to all correspondence from officers of the Association within one month of receipt;
	f) nehmen an der jährlichen Vereinsversammlung teil oder informieren den Sekretär mindestens vier Wochen im voraus über ihren Stellvertreter in der Vereinsversammlung.	f) Attending the Annual General Meeting of the Association or inform about a substitute attending the Annual General Meeting to the Secretary at least four weeks in advance of the meeting.
Artikel 7	Stimmrecht an Mitgliederversammlung	Voting at Meetings
7.1	Jedes Mitglied hat unabhängig davon wie viele Delegierte es an die Vereinsversammlung entsendet, eine Stimme.	Independent of the number of representatives in the general meeting, every member of the association has only one vote.
7.2	Nur Delegierte, deren nationaler Verein seinen finanziellen Verpflichtungen gegenüber dem Verein nachgekommen ist, sind berechtigt, das Stimmrecht auszuüben.	Only representatives of those member associations that have met their financial commitments to the Association shall be entitled to vote.
7.3	Soweit es der Vorstand nicht anders bestimmt, wird offen abgestimmt.	Unless otherwise determined by the Governing Body voting at all meetings shall be by show of hands.
7.4	Stimmenthaltungen werden in der Abstimmung nicht berücksichtigt.	If a voting right is not exercised, it will not count for the result of the voting.
Artikel 8	Finanzielles	Finances
8.1	Der Vorstand schlägt ein Budget vor, über das die Vereinsversammlung abstimmt.	A budget shall be presented annually by the officers of the Association to be voted upon by the Governing Body at the Annual General Meeting.
8.2	Die Einnahmen des Vereins stammen von Mitgliedschaftsbeiträgen und anderen Quellen, die von der Vereinsversammlung erschlossen werden.	The income of the Association will derive from membership fees paid by members and from any other source deemed appropriate by the Governing Body.
8.3	Jedes Vereinsmitglied leistet einen Jahresbeitrag, der von der Vereinsversammlung festgelegt wird.	Each member shall pay to the Association an annual fee which shall be determined by the Annual General Meeting.
8.5	Das Vereinsjahr entspricht dem Kalenderjahr.	The membership and financial year shall be the calendar year.
8.6	Alle Mitgliedschaftsbeiträge sind am 1. Oktober fällig. Sind die Beiträge bis zum 1. Mai des folgenden Jahres nicht eingegangen, so gilt die Mitgliedschaft als verfallen, bis die Beiträge bezahlt sind.	All membership fees are due on 1st October and if not received by 1st May of the following year the membership shall be deemed to have lapsed until the outstanding fees have been paid.
8.7	Kein Vereinsmitglied erhält eine finanzielle Entschädigung für seine Tätigkeit. Mitglieder des Vorstands können für ihre effektiven Ausgaben im Zusammenhang mit dem Amt entschädigt werden.	No member of the Governing Body may receive any financial reward for services rendered in that capacity but the Board of Directors may be reimbursed for reasonable expenses actually incurred in carrying out their duties
8.8	Vereinsmitglieder sind von einer Registrationsgebühr für die Jahreskonferenz befreit, sofern sie ihre statutarischen Pflichten erfüllt haben.	Members of the Governing Body do not pay the registration fee for the Annual Conference if they have fulfilled their responsibilities.
8.9	Für Verbindlichkeiten des Vereins haftet ausschliesslich das Vereinsvermögen. Die Mitglieder können nur für die ordentlichen Mitgliederbeitrag persönlich belangt werden.	Only the assets of the association are liable for the debts of the association. From the members only the regular fees can be claimed.
8.10	Die Mitglieder des Vorstands vertreten den Verein. Der Präsident, der Ehrenpräsident und der Kassier sind zeichnungsberechtigt. Sie zeichnen kollektiv zu zweien. Der Vorstand kann weitere kollektivzeichnungsberechtigte Personen bezeichnen.	The members of the board represent the association. The President, the Past-President and the Treasurer shall have the authority to sign. At least two signatures are required. The board of directors may appoint further persons with the authority to sign, whereas at least two signatures are required.
Artikel 9	Statutenänderungen	Amendments to Constitution
9.1	Statutenänderungen können nur anlässlich der Vereinsversammlung vorgenommen werden.	Alterations or amendments to the Constitution may only be made at the Annual General Meeting.
9.2	Delegierte und/oder Mitglieder des Vorstands können Statutenänderungen vorschlagen.	A proposal to amend the Constitution may be made by the representative of a member association and/or by the Board of Directors.
9.3	Vorschläge für Statutenänderungen müssen dem Sekretär mindestens zwei Monate vor der Vereinsversammlung bekannt gegeben werden, damit den Mitgliedern eine hinreichende Überlegungsfrist gewährt werden kann.	A proposal to amend the Constitution must be submitted to the Secretary of the Association at least two months prior to the Annual General Meeting in order to allow sufficient time for consideration by each member association.
9.4	Vorschläge für Statutenänderungen sollen den Mitgliedern durch den Sekretär umgehend mitgeteilt werden.	A proposal to amend the constitution shall be submitted promptly by the Secretary to each member association.
9.5	Für Statutenänderungen ist eine Zwei-Drittel-Mehrheit der anwesenden Vereinsmitglieder notwendig.	To amend the Constitution a proposal shall require at least a two-thirds vote in favour by the representatives of member associations present at the Annual General Meeting.
Artikel 10	Auflösung des Vereins	Dissolution of the Association
10.1	Im Falle der Auflösung des Vereins wird das Vereinsvermögen nach Begleichung aller Schulden unter den Mitgliedern im Verhältnis ihrer Mitgliederbeiträge verteilt.	In the event of the Association being dissolved any assets remaining, after satisfying all outstanding debts and liabilities, shall be distributed among member associations in proportion to the basis on which they contributed membership fees to the Association.
